By submitting photographs, video or audio material (collectively, “Material”) to Useless Media Group, the person or entity submitting the Material (“you”) agree to the following terms:
1. For good and valuable consideration, the receipt and sufficiency of which is acknowledge by your submission of Material, you hereby grant to Useless Media Group a non-exclusive, worldwide grant in perpetuity to edit, broadcast, reproduce, use, license and sublicense, print, exhibit, distribute and otherwise exploit the Material in all media, now known or hereafter devised, in or in connection with any of Useless Media Groups websites, including this Site, and any Useless Media Group affiliates, subsidiaries, parent companies, applications, platforms and the marketing, promotion and advertising of the same.
2. You represent and warrant that you have the sole, full and exclusive right, power and authority to grant the rights granted hereunder and that you own all right, title, and interest of every kind and nature whatsoever, in and to the Material including, without limitation, the copyright (and all extensions and renewals thereof) in and to the Material and any music appearing therein.
3. You represent and warrant that your submission of Material to this Site, and our use of that Material pursuant to these terms and conditions will not violate any applicable U.S. or state laws; (b) that Useless Media Group may legally use the Material as contemplated herein without any further permission or license from any third party; and (c) our use of the Material will not infringe on the any copyright, violate any right of privacy or publicity, contain any defamatory material, or violate or infringe on any rights of any third party (including intellectual property rights and common law rights).
3. You represent and warrant that (a) you have not and will not enter into any commitment which will conflict in any way with the grant of rights hereunder or conflict in any way with your contractual obligations under any of the provisions hereunder; (b) you have not done or omitted to do and will not do or omit to do any act or thing by license, grant or otherwise, which will or may impair or encumber any of the rights herein granted, or interfere with Useless Media Group’s full enjoyment of said rights; and (c) there are no outstanding claims or litigation pending in connection with the Material, or any element therein included, and the Material itself is not presently the subject of any litigation or of any claim that might give rise to litigation.
4. You shall indemnify and hold Useless Media Group harmless from and against any and all claims, losses, liabilities, damages and expenses (including, without limitation, all costs and attorneys’ fees) (collectively, “Liabilities”) which may result from any breach of your representations, warranties and/or obligations in this Agreement, even if such Liabilities are unforeseen or unexpected.
5. Useless Media Group may use, remove, re-use Material without notice to you. Useless Media Group has no obligation whatsoever to make any use of any Material. Useless Media Group may store Material in its sole discretion, but has no obligation to store or “back up” any Material.
6. You understand and acknowledge that your Submission may not be secure, that it is possible that Useless Media Group, this Site, or any of Useless Media Group’s systems may be breached and you agree to hold Useless Media Group harmless in the event of such breach by third parties.
7. Neither by your submission of Material, nor by Useless Media Group’s use of that Material, is there created a confidential or fiduciary relationship between you and Useless Media Group.
8. You agree that Useless Media Group displays and/or exhibits video, photographic, audio and other content (“Useless Media Group Content”) owned by Useless Media Group. Useless Media Group Content is protected by U.S., International, California and/or common law copyright, trademark and other laws. Useless Media Group Content may not be copied, edited, used or otherwise exploited in any manner without the prior written consent of Useless Media Group.
9. Submissions may be made the Site via upload function, or via email to [email protected]. All Submissions are subject to this Submission Policy and the Terms.
10. Material submitted by you may be monetized on the Site by incorporating advertisements in conjunction with the Material. You agree that Useless Media Group may monetize any Material or Submission by you in this manner, and that any revenue generated in this manner is the sole property of Useless Media Group.
11. Useless Media Group may remove or deleted any Material, at any time, in its sole discretion, without notice or responsibility to you.
12. You may not submit Material that is unlawful, harmful, obscene, pornographic, threatening, abusive, defamatory, harassing or invasive of another party’s privacy. You may not submit Material that contains personal identifying information of another person without their explicit consent.
13. You may not submit Material that in any way misrepresents your affiliation with any other person or entity, or which impersonates any other person.
